These Terms of Use ("Terms") constitute a binding agreement between you, the user ("you" or "user"), and LinkGPT Ltd. (“LinkGPT”, “us”, “we”, “our”), regarding your access to and use of the LinkGPT platform (the “Platform”). Please read these Terms carefully, as well as the LinkGPT Privacy Policy available at: /privacy, as they govern your use of the Platform. By accepting these Terms or by accessing or using the Platform, you signify your agreement with these Terms. If you do not agree to these Terms, you may not access or use the Platform.

About the Platform

The Platform is an AI-driven chat interface and related management tools intended to help businesses and influencers provide automated responses, recommendations, summaries and other content to end-user questions regarding products and services promoted or advertised through social media, e-commerce systems and other online channels. The Platform may (i) generate responses and recommendations based on information provided by businesses and/or influencers, (ii) provide or assist with customer support interactions, often providing links, references, excerpts, or other source indicators provided alongside responses, when available and (iii) enable the collection and management of anonymized information and conversation history for analytics and service improvement purposes.

Business clients of the Platform may be subject to additional terms and/or separate agreements with LinkGPT governing their commercial use of the Platform.

For the avoidance of doubt, LinkGPT does not sell, resell, warrant, or guarantee any products or services promoted, recommended, or referenced through the Platform, and is not a party to any transaction or contractual relationship between users and any third parties whose products or services are featured on the Platform. Any purchase, subscription, or other transaction for products or services is solely between you and any third parties whose products or services are featured on the platform. Users should verify product/service information directly with the relevant third party before making any purchasing decision and LinkGPT is not a party to any such transaction.

Changes to the Platform and the Terms

We may modify, replace terminate, or restrict access to any aspect of the Platform at any time, without notice. We may remove any content from the Platform for any reason. We may access, read, preserve, and disclose any information as we reasonably believe is necessary to: (i) satisfy any applicable law, regulation, legal process, or governmental request; (ii) enforce these Terms, including investigating potential violations; (iii) detect, prevent, or otherwise address fraud, security, or technical issues; (iv) cooperate with law enforcement authorities; (v) respond to user support requests; or (vi) protect the rights, property, or safety of us, our users, or the public. Changes of this nature may result in glitches or cause inconvenience. We will not be responsible for any outcomes or failures resulting from such changes.

LinkGPT also reserves the right to revise the Terms at any time, at its sole and absolute discretion, including for the purpose of meeting technical, operational and legal requirements. All revisions will be posted on the Platform and will be effective immediately upon posting. By using or browsing on the Platform, you are deemed notified and bound by any changes to these Terms. If you do not accept these revisions to the Terms, then you must immediately stop using the Platform. We will post a notice about changes made to these Terms on the Platform, and by continuing your use of the Platform after the new changes have taken effect, you indicate your agreement to the amended Terms.

No waiver, concession, extension, representation, alteration, addition or derogation from these Terms will be effective unless effected in writing and expressly.

If any provision of these Terms is held by a court of competent jurisdiction to be illegal, invalid, unenforceable, or otherwise contrary to law, the remaining provisions of these Terms will remain in full force and effect.

User Eligibility

You may use the Platform only if you are at least 16 years old (or the legal age of majority in your jurisdiction), have the legal capacity to enter into binding contracts, and are not barred from using the Platform under applicable law. By using the Platform, you represent and warrant that you meet these requirements.

Grant of Right

We hereby grant you, subject to these Terms, a non-exclusive, non-transferable, limited, personal, revocable right to access the Platform for its intended purpose. Any other use, including, but not limited to, the reproduction, duplication, modification, distribution, sale, transmission, republication, removal, deletion, addition, framing, display, or performance of the content on the Platform or the exploitation in any other manner of any of the content of the Platform, in part or in whole, is strictly prohibited.

Account Registration and Security

To access certain features of the Platform, you may be required to register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify LinkGPT immediately of any unauthorized use of your account.

Restrictions on Use

You may use the Platform only for lawful and appropriate purposes on your own behalf, and subject to your full compliance with these Terms and any other guidelines and policies applicable to the Platform which we may post from time to time.

You may not:

Copy content of the Platform, embed it in other websites, display it using framing techniques, create mirroring websites, sell, grant a license to use, lease, lend or distribute the Platform’s content in any way.
Modify, create derivative works, reverse engineer, or perform any other action in order to disclose the source code of the Platform, its chatbot, modules or any other feature of the Platform.
Link content of the Platform separately from the webpage where the content is originally located. When linking to webpages of the Platform, no information should be hidden, blocked, modified or deleted from the webpages of the Platform.
Post or transmit to the Platform any unlawful, threatening, libelous, defamatory, obscene, scandalous, inflammatory, pornographic or profane material, or any other material that could give rise to any civil or criminal liability under the law, as well as anything in contravention of these Terms.
Add links from illegal sites to the Platform, including gambling sites, pornography sites, and enmity add-ons.
Use the Platform for purposes of examination, scanning, scraping, hacking including hacking the Platform’s security systems or any other computer and communication systems serving it, interfering with the Platform’s operations, manipulating the Platform’s activities, systematic access to the Platform's systems using automated software tools, such as 'bots' and 'crawlers', or attempt to override any security component included in or underlying the Platform, or access to the features or functionalities of the Platform that are not intended to be accessible or that are not documented.
Use the Platform for any activity that constitutes or encourages the commission of a criminal offense or civil wrong or violates applicable laws, including laws in connection with deception, fraud, forgery, privacy protection, identity theft, viruses and other malicious software distribution, right to publicity, slander, harassment and obscene publications.
Use the Platform for (i) medical diagnosis or treatment decisions; (ii) legal filings or provision of legal advice; (iii) financial reporting, audits, or investment decisions; (iv) decisions determining eligibility for employment, housing, credit, insurance, or similar high-stakes determinations; or (v) any safety-critical or life-critical purpose

Any attempt to do any of the foregoing is a violation of our rights. If you breach these restrictions, your limited license to use the Platform granted herein will immediately terminate and you may be subject to prosecution and damages.

Privacy

We use and process personal data related to you according to our Privacy Policy which is available at: /privacy.

Intellectual Property

The Platform, the content on the Platform, including, but not limited to, text, descriptions, graphics, images, audio clips, button icons, digital downloads, trademarks, service marks, trade names, data compilations, code, and computer software (collectively “Content”) are owned by or licensed to LinkGPT and protected by copyright and other intellectual property laws. All rights not expressly granted to you hereunder are reserved by LinkGPT and its licensors.

LinkGPT does not grant, by implication or otherwise, any license or right to use any Content displayed on this Platform, without the prior written consent of LinkGPT. LinkGPT prohibits the use of the LinkGPT logo or other proprietary graphics or trademarks as a link to any Platform unless the creation of such a link is approved in advance, and in writing, by LinkGPT.

Content is provided to you “AS IS” for your information only and may not be used, copied, distributed, transmitted, broadcasted, displayed, sold, licensed, de-compiled, or otherwise exploited for any other purposes whatsoever without our prior written consent. If you download or print a copy of the Content for personal use, you must retain all copyright and other proprietary notices contained therein. You understand that by using the Platform, you may be exposed to content that might be offensive, harmful, inaccurate or otherwise inappropriate. Any material you download, view, or otherwise access through the Platform is at your own risk. You will be solely responsible for any damage or loss of data that results from the download of any such material.

Third Party Websites

The Platform may contain links to other websites, information or content provided by third parties including, without limitation, websites, online stores, social media pages, policies, promotions, product or service information and other materials of LinkGPT’s business customers, each of which may include or contain links to services for processing payments provided by third-party service providers. We do not operate or monitor these third-party websites and service providers. These third-party sites and content are subject to their own terms of use and privacy policies. By linking to a certain website, we do not endorse or sponsor its content, nor do we confirm the accuracy, credibility, authenticity, reliability, validity, integrity, or legality of such content. We assume no responsibility for such third-party websites or content, or their availability or for any transactions made between you and such third-party websites. We will not be liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any such content, goods or services available on or through any third-party websites or content.

Your access to, use of and reliance upon any such sites, services and content and your dealings with such third parties are at your sole risk and expense and is subject to such third parties’ respective legal terms including terms of use and privacy policy. We encourage you, prior to making any important or potentially important decision, to seek professional advice and not to rely on the Platform’s automated response as a substitute for advice from qualified professionals. You expressly release LinkGPT (and its employees, agents, affiliates, and/or licensors) from any and all liability arising from your use of any third-party website, information, materials, products, or services. PLEASE NOTE THAT YOUR RELATIONSHIP WITH THE THIRD PARTY SERVICE PROVIDERS IS GOVERNED SOLELY BY THE TERMS AND PRIVACY POLICY OF SUCH THIRD PARTY SERVICE PROVIDERS. Accordingly, we encourage you to be aware of the terms of such third-party service providers’ and to read the terms and conditions and privacy policy of each other website that you visit.

Information Security

LinkGPT and its hosting services providers implement systems, and procedures to secure your information, to minimize the risks of theft, damage, loss of information, or unauthorized access or use of information. These measures provide sound industry standard security. However, although we make efforts to protect your information, we cannot guarantee that our systems will be immune from any wrongdoings, malfunctions, unlawful interceptions or access, or other kinds of abuse and misuse.

Disclaimer of Warranty

All content, materials, and information made available on or through this Platform are provided on an “AS IS” and "as available" basis, without representations, warranties, or conditions of any kind, either express or implied. As such, your use of this Platform is at your own risk. Subject to the foregoing, LinkGPT disclaims all implied warranties including, without limitation, the implied warranties of merchantability and fitness for a particular purpose, and all express warranties except those explicitly made in these Terms.

We will make efforts to run the Platform efficiently and have it accessible at all times. However, the Platform's operation is dependent upon various factors such as software, hardware and communication networks. By their nature, these factors are not fault free. We do not warrant that the Platform will operate in an uninterrupted or error-free manner, or that it will always be available, free from all harmful components, or that at all times it will be completely safe, and secured from unauthorized access to our computers, immune from damages, free of malfunctions, bugs or failures, including, but not limited to, hardware failures, software failures and software communication failures, originating either in us or any other service provider. Such incidents will not be considered a breach of these Terms.

Indemnification and Limitation of Liability

You agree to defend, indemnify, and hold harmless LinkGPT, its members, officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of the Platform, and any use of the Platform made through your device; (ii) your violation of any term of these Terms or our Privacy Policy; (iii) your violation of any third party right, including without limitation any copyright or other intellectual property, property, or privacy right; and (iv) any third party claim regarding actions/inactions made by you in connection with the Platform. LinkGPT reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you and you will not in any event settle any matter without the written consent of LinkGPT.

You agree that, except as otherwise provided under applicable laws, neither LinkGPT nor anyone acting on its behalf shall be liable for any damages whatsoever arising out of or related to the use of, access to, reliance on, or inability to use, this Platform, including but not limited to any content, information, products, or services provided through the Platform or any third-party links or services. This limitation of liability applies to all damages or losses, whether direct, indirect, incidental, consequential, special, punitive, exemplary, statutory, or otherwise, even if LinkGPT has been advised of the possibility of such damages, and regardless of the legal theory (contract, tort, including negligence, warranty, strict liability, or otherwise). For the avoidance of doubt, LinkGPT shall not be liable to you or any third party for any damage, loss, injury, or harm caused by any action taken by you as a result of content presented on the Platform, or for any disputes arising between any of the clients featured on the Platform and you regarding the products and without limitation, their quality, condition, legality, or delivery. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. LinkGPT's entire liability and your exclusive remedy with respect to any dispute with us (including, without limitation, your use of the Platform) is to discontinue your use of the Platform and remove any downloaded materials from your device. You shall have no right or authority to have any claims litigated on a class action basis (as a class member, class representative, or otherwise), nor shall your claim be joined with other claims.

Certain jurisdictions do not allow limitations on implied warranties or on liability. If you are a resident of such jurisdiction, some or all the above disclaimers, exclusions or limitations may not apply to you, and you might have additional rights.

Disputes Between Users and Client Featured on our Platform

LinkGPT is not responsible for and does not guarantee the performance or reliability of the product or service of any client featured on or operating through the Platform. We are not a party to any agreement or transaction between you and any of the clients featured on our Platform. Any dispute that may arise between you and such client shall be exclusively resolved directly between you.

Any information, including product-related, featured on our Platform and embedded in our chatbot responses is entirely based on the information received from the clients featured on our website, we cannot guarantee that all product-related information, or any other content featured on the Platform, including recommendations, or other materials available through the Platform will be accurate, complete, or will be individually suitable for you.

Termination of Use

You agree that any violation of these Terms, the unauthorized use of the Platform or Content, as well as any fraudulent, abusive or otherwise illegal activity shall be grounds for termination of your right to access, browse and use the Platform. LinkGPT reserves the right to terminate or suspend your access to the Platform and its content and use at any time, with or without notice, at LinkGPT's discretion. Should your access to the Platform be terminated, you are prohibited from accessing the Platform under a new name unless expressly invited to do so by LinkGPT.

Additionally, LinkGPT may at any time, at its sole discretion, cease the operation of the Platform or any part thereof, temporarily or permanently, delete any information or Content from the Platform or correct, modify, amend, enhance, improve and make any other changes thereto or discontinue displaying or providing any service, information, content or features therein without giving any prior notice. The provisions that, by their nature and content, must survive the termination of these Terms in order to achieve the fundamental purposes of these Terms, shall so survive.

Effect of Termination or Modification

If LinkGPT terminates or suspends the Platform, or your access to the Platform, for any reason, LinkGPT will use reasonable efforts to address any outstanding user support requests in accordance with these Terms, unless prohibited by law or court order. LinkGPT will not be liable for any loss or damages arising from such termination or modification.

Governing Law and Jurisdiction

These Terms are governed by Israeli law. Any legal claim will take place with the competent courts of Tel Aviv, Israel. Your use of the Platform may also be subject to other local, state, national, or international laws. You and LinkGPT agree that the United Nations Convention on Contracts for the International Sale of Goods will not apply to the interpretation or construction of these Terms.

Notices and Communications

LinkGPT may provide notices or communications to you by email, in-Platform notifications, or by posting on the Platform. You are responsible for keeping your contact information up to date. Notices sent by email will be deemed received when sent.
